Retailer Feed Terms

1. Who we are

Brainy Prices (prices.brainy.ae) is operated by SOFT DEV FZ LLC, a free zone limited liability company licensed by Fujairah Creative City – Media Free Zone (licence No. 9485/2016). These terms apply when a retailer («you») sends us a product feed through Brainy Prices for Retailers (agent-ready product feeds).

2. Accepting these terms

You accept these terms when you confirm in writing, from an address authorised to act for your business, the permission we send you: it names your feed, the uses you allow (section 4), the attribution, how often we read the feed and how to stop. Nothing goes live before that confirmation.

3. What you send and how

Product data only: identifiers (such as GTIN, SKU or MPN), names, brands, descriptions, sizes, prices, availability, product page links and images. Your feed must not contain personal data about customers, staff or anyone else. If personal data reaches us by mistake, we delete it and tell you.

You can send it as a link to a file that we read again at the frequency we agree (preferred), by uploading it to a private link we give you, or as an email attachment. A link must point to a file (for example a Google Merchant Center, Meta or Shopify export, or a CSV, TSV or Excel file), not to a web page.

You confirm that you have the rights to send this data, including product images and descriptions, and to let us use it as you allow in section 4.

4. The uses you allow, one by one

You choose which of these uses you allow. We confirm your choice in writing before anything goes live, and we never make a use you have not allowed in writing. For each use you allow, you grant SOFT DEV FZ LLC a free, non-exclusive, worldwide licence, which you can end as in section 7.

• prices: show the prices in your feed, each with its date.
• catalog: match your products to the products on Brainy Prices and show them there, including next to the same product from other stores.
• api_mcp: serve your product data through our API and MCP server to AI assistants, apps and developers, under our API and MCP terms.
• agent_feeds: publish a normalised file of your products in schema.org Product format on prices.brainy.ae (under /feeds/), naming your store as the source.
• openai_feed_file: prepare a file of your products in OpenAI's product feed format for you to upload to OpenAI. We never upload it for you.
• images: show the product images in your feed.
• links: link each product to its page on your store.

Each allowed use also covers what it needs: copying, storing, normalising and translating your data, and derived records such as normalised products and aggregate statistics. We do not sell your feed as a dataset and we do not offer bulk downloads of it. We use your store name only to identify your products.

5. Attribution and display

Wherever we show your products, they carry your store's name (or the attribution text you confirm), each price with its date and the legend «price provided by» your store, and, if you allow links, a link to your product page. Results through our API carry the same attribution, and our API terms require users to keep the source, date and freshness when displaying them. We may hide a price we consider out of date. Nobody can pay us for a better position.

6. Accuracy and responsibility

You are responsible for the accuracy and legality of the data you send, including prices, offers and product information. Prices we show are what you sent, with its date; they are not an offer from us, and purchases happen on your website under your own terms. We do not take orders or payments.

You may correct or update your feed at any time; a feed link we can read again is preferred.

7. Stopping and removal

You can stop at any time by emailing prices@brainy.ae. Within 48 hours we stop showing your products on our websites and serving them through our API and MCP server, and we delete your feed files. Copies that third parties already obtained through our API before removal are outside our control, but our API terms require them to show current data with its date.

We may decline a feed, or remove products, at any time, for example for legal reasons, quality problems or goods we do not list.

8. No warranty and limitation of liability

The service is free and provided «as is», without any warranty of availability, ranking, traffic or sales. To the extent permitted by the laws of the United Arab Emirates, SOFT DEV FZ LLC is not liable for losses arising from the display, absence or interruption of your product data.

9. Changes and transfer

Changes to these terms are identified by their version date. We will email you before a change that affects how we use your data; you can stop at any time as in section 7. We may transfer these terms to a successor that takes over Brainy Prices, for example through a merger or acquisition, under the same conditions.

10. Governing law

These terms are governed by the laws of the United Arab Emirates.
